Terms and Conditions

Last updated: 3 November 2026

1. About these Terms

1.1 Clarity Club is operated by Jiffi Consultancy Pty Ltd (ABN 48 667 406 868), Unit 1/136 Cronulla St, Cronulla NSW 2230 (Jiffi, we, us, our).

1.2 These Terms apply to your use of Clarity Club at clarityclub.jiffi.co and everything offered through it, including membership, credits, idea8, the Deputy Health Check, the Clarity desktop app (builder-kit), the community, guides, and live sessions (together, the Service).

1.3 By creating an account, buying anything, or using the Service, you agree to these Terms and to our Privacy Policy. If you don’t agree, don’t use the Service.

1.4 If you use the Service for a business, you confirm you have authority to accept these Terms for that business, and you includes the business.

1.5 You must be at least 18 years old to create an account.

2. Your rights under the Australian Consumer Law

2.1 Our services come with guarantees that cannot be excluded under the Australian Consumer Law. Nothing in these Terms excludes, restricts or modifies any right or remedy, or any guarantee, warranty or other term, that cannot lawfully be excluded under the Australian Consumer Law or any other law (Non-Excludable Rights).

2.2 Where a clause in these Terms limits our liability or your remedies, it applies only to the extent the law allows, and always subject to your Non-Excludable Rights.

3. Your account

3.1 You sign in with a magic link sent to your email address. Keep access to that email account secure, because anyone who can read it can sign in as you.

3.2 Give us accurate details and keep them up to date.

3.3 Your account is for you. Don’t share it or let anyone else use it.

3.4 Tell us straight away at hello@jiffi.co if you think someone has accessed your account without permission.

4. Membership, credits and payments

4.1 What we sell

Prices
ProductPrice (AUD, incl. GST)What you get
Membership$30 per monthMember access, plus 450 credits each billing month
One idea$25250 credits
A few ideas$55600 credits
Everything$1201,500 credits

Live sessions are included with membership. See clause 9.

Current prices are always shown on the site before you pay. If this table and the checkout page differ, the checkout page applies to that purchase.

4.2 Payments

  • (a) Payments are processed by Stripe. We don’t see or store your full card number. Stripe’s own terms and privacy policy apply to the payment.
  • (b) All prices are in Australian dollars and include GST. Stripe issues your receipt for each payment.

4.3 Membership renews automatically

  • (a) Your membership is a recurring subscription. It renews and charges your payment method automatically each month until you cancel.
  • (b) You can cancel at any time from your billing page. Cancellation takes effect at the end of the billing month you’ve already paid for. You keep member access until then and you won’t be charged again.
  • (c) If a renewal payment fails, we and Stripe will try again. If it still can’t be collected, your membership may be paused or ended. Your membership credits for that month end as described in clause 4.4(c). Credits you bought in a pack are not affected.

4.4 Credits

  • (a) Credits are used to run paid features in the Service, such as idea8 and the Deputy Health Check. Credit rates are published on our pricing and tools pages. What an action costs depends on the work involved, and your remaining balance is always shown in the Service.
  • (b) Credits you buy in a pack, credits we give you at sign-up, and credits included with a live session do not expire while your account is open.
  • (c) Membership credits are different. The 450 credits included with your membership are for that billing month. They don’t carry over: any you haven’t used end when your next month’s credits arrive, or three days after the period ends if a renewal payment fails.
  • (d) Credits have no cash value. They can’t be exchanged for money, transferred to another account, or sold. The only exception is where the Service itself offers a conversion, such as converting credits into a claim code for Palate.
  • (e) Free or promotional credits may come with extra conditions we tell you about when we give them. We may limit free credits to one per person or business.
  • (f) If you close your account, any unused credits are cancelled, unless you are entitled to a refund under clause 4.5.

4.5 Refunds

  • (a) Change-of-mind refunds. We don’t generally give refunds if you simply change your mind, for example about a credit pack or a month of membership. We may give one at our discretion.
  • (b) Your Non-Excludable Rights. If something we supplied has a major failure, you are entitled to choose a refund or other remedy under the Australian Consumer Law. If the failure is not major, we will fix it within a reasonable time, and if we don’t, you can ask for a refund. Nothing in clause 4.5(a) limits these rights.
  • (c) Live sessions. Sessions are included with membership and seats aren’t sold separately, so there is nothing to refund if a session is cancelled or moved. If we cancel or reschedule a session, we will tell you and you keep your membership and your place at future sessions.
  • (d) Effect of a refund. If we refund a purchase that came with credits, the unused credits from that purchase are removed from your balance. Credits you have already spent are not charged back to you.
  • (e) Chargebacks. Please contact us before disputing a charge with your bank, because most problems can be sorted out quickly. If a charge is disputed, we may remove the unused credits from that purchase, release any session seat associated with it, and suspend or close your account. If your account is closed because of a dispute, contact us at hello@jiffi.co once it is resolved and we will look at restoring it.

4.6 Price changes

We may change prices. A change to the membership price applies from your next billing month after we give you at least 30 days’ notice by email. If you don’t want to pay the new price, you can cancel before it applies. Price changes never affect a purchase already made.

5. Using the Service

5.1 Your licence

While your account is in good standing, we give you a personal, non-exclusive, non-transferable, revocable licence to use the Service for your own business or personal purposes, under these Terms.

5.2 What you must not do

You must not:

  • (a) break any law, or infringe anyone’s rights, using the Service;
  • (b) upload or connect information you don’t have the right to use, including other people’s personal information;
  • (c) try to get around credit limits, usage limits, access controls or security measures, or test the Service for vulnerabilities without our written permission;
  • (d) copy, resell, sublicense or republish the Service or its guides, except as these Terms allow;
  • (e) scrape or bulk-download the Service, or use it to build a competing product;
  • (f) use the Service to create content that is unlawful, harmful, deceptive, or that infringes intellectual property;
  • (g) upload malware or anything that could harm the Service or other users;
  • (h) misuse free-credit offers, for example by creating multiple accounts; or
  • (i) share passwords, API keys or other secrets with idea8 or any other part of the Service.

5.3 Changes to the Service

We are improving the Service all the time and may add, change or remove features. If we remove a feature that is a main part of what you’ve paid for, we will tell you in advance, and you can cancel and get a pro-rata refund of any membership fees you’ve prepaid for the period after the change.

5.4 Availability

We aim to keep the Service available, but we can’t promise it will be uninterrupted or error-free. Maintenance, third-party outages and events outside our control can affect it.

6. idea8 and other AI features

6.1 idea8 and other AI features use third-party AI models, currently Anthropic’s Claude. Anything you enter is processed by that provider to produce your results, as described in our Privacy Policy. Model training is disabled. The provider does not use your inputs to train its models.

6.2 If you connect a code repository to idea8, including a private GitHub repository, idea8 reads it and sends summaries of it to that AI provider so it can produce your results. Only connect a repository you are entitled to share, and don’t connect one that contains secrets, credentials or other people’s personal information.

6.3 AI output can be wrong, incomplete or out of date. It is produced automatically and is not reviewed by a person before you see it. You are responsible for checking it before you rely on it, publish it, or build on it.

6.4 AI output, including market sizing, competitor research and plans, is general information. It is not legal, financial, tax, investment or other professional advice.

6.5 Our member help chat also sends your questions to that AI provider to answer them.

7. Deputy Health Check

7.1 What it is

The Deputy Health Check reads information from your Deputy account, with your authorisation, and produces a report on how your setup compares with the checks we run.

Your first Health Check is free. After that each one costs 30 credits, charged only when a report is successfully built. Reports stay in your account until you or the authorising Deputy administrator delete them, and our team can see them so we can help you with what they find. Health Check data is stored and processed in Australia.

7.2 Not payroll, legal or award advice

The Health Check is an automated screening tool. It is not legal advice, payroll advice, or an audit, and it does not confirm that you comply with the Fair Work Act 2009, any modern award, enterprise agreement or other industrial instrument, or any tax or superannuation law. A finding, or no finding, doesn’t mean you are compliant or non-compliant. It can’t account for arrangements recorded outside Deputy, and it depends on the data in your account being accurate. Get advice from a qualified adviser before acting on a finding, including before paying, back-paying or changing anyone’s pay.

7.3 How the connection works

There is no standing connection between us and your Deputy account. When you run a Health Check, Deputy gives us a key that expires after 24 hours, and we delete it as soon as your report is built. Running the check again means authorising it again. Our software can only read from Deputy; it has no ability to change anything in your account.

7.4 Your authority and your employees’ information

  • (a) If you authorise a Health Check, whether you are the member who requested it or a Deputy administrator a member invited to connect the account, you confirm that you are, or are acting with the authority of, the business that owns the Deputy account, and that you are entitled to let us read the information we read.
  • (b) If you are a Deputy administrator connecting an account at a member’s invitation, these Terms apply to you from the moment you connect, and clauses 7 and 14 apply to you in the same way as to a member.
  • (c) Some of that information is personal information about your employees. You are responsible for meeting your own obligations to them under privacy and workplace laws, including telling them how their information is handled.
  • (d) We handle that information to produce your Health Check and as set out in our Privacy Policy. We access it read-only, don’t use it to train any AI model, don’t share it with other members, and don’t use it in marketing or public material without your separate written permission, other than as described in clause 7.4(e).
  • (e) We also keep a short summary of each Health Check so our team can decide whether to offer you a call and follow up with you about Jiffi’s services. The summary holds a small number of figures about your account: your score, your band, how many red and amber findings there were, your headcount, whether you have fewer than 50 staff, and how many checks we were able to measure. It contains no names and no information about individual employees. It sits on the report itself, and deleting the report deletes the summary with it.

8. The Clarity desktop app (builder-kit)

8.1 The Clarity desktop app runs on your own computer. We grant you a licence to install and use it for as long as your account is in good standing, under these Terms.

8.2 The app may connect to third-party services you choose, such as GitHub, npm, AI accounts and MCP servers. Your use of those services is under their terms, and you are responsible for the accounts, keys and costs involved.

8.3 The app can create, change and delete files and run commands on your computer when you tell it to. Keep backups and review changes before you rely on them.

9. Live sessions and the community

Live sessions

9.1 Live sessions are included with membership. Seats are free and limited, allocated first come first served. If your membership ends or you delete your account, any seats you hold at future sessions are released.

9.2 Live sessions may be recorded. We will tell you before recording starts.

9.3 By joining, you agree that if you speak, turn on your camera, or type in chat, your name, voice, image and contributions may appear in the recording. We may also use the session to create other content, including posts, articles, clips and images about the topics covered, and publish it publicly, for example on our website, LinkedIn, YouTube and other social media or online forums. Recordings may be shared with members inside the club. If you don’t want to appear, keep your camera and microphone off, and tell us if you’d prefer we don’t use an image of you. We will remove it from content we control on request.

9.4 Be respectful. We may remove anyone who disrupts a session.

9.5 Session content is general education, not professional advice for your circumstances.

The community

9.6 Clarity Club includes a members’ community. You sign in to it with your Clarity Club account, and your access ends when your membership ends.

9.7 You own what you post, and you give us a non-exclusive licence to host and display it to other members. Don’t post anything you don’t have the right to post, anything unlawful, misleading or abusive, or anyone else’s personal or confidential information, including your clients’ or your employees’.

9.8 Other members’ posts are their own opinions, not ours and not advice. We may remove posts or remove someone from the community if they breach these Terms, and we may close the community at any time.

10. Intellectual property

10.1 Ours. We, or our licensors, own the Service, including the software, the guides, the runbooks, the Health Check methodology, recordings and our brand. Apart from the licences in these Terms, you get no rights in them.

10.2 Yours. You keep ownership of what you put into the Service (Your Content) and, as between you and us, of the output generated for you. You give us a non-exclusive licence to host, process and display Your Content only as needed to run the Service for you and as described in our Privacy Policy. We don’t claim any right to use Your Content for anything else.

10.3 Third-party rights in output. AI output may be similar to output generated for others and may not be protectable by copyright. We don’t promise that output is unique or free of third-party rights.

10.4 Feedback. If you send us ideas or suggestions, we may use them without owing you anything.

11. Third-party services

11.1 The Service connects to, relies on, or links to software and services run by other companies, such as Deputy, Stripe, Anthropic, GitHub, Google and Calendly, and others we may add over time (Third-Party Services).

11.2 Third-Party Services are provided by those companies, not by us. Your use of them is governed by your own agreement with each provider, and you are responsible for any accounts, permissions and costs you have with them.

11.3 We don’t control Third-Party Services and are not responsible for their availability, accuracy, security, or any changes they make that affect how they work with the Service.

11.4 Subject to your Non-Excludable Rights, we are not liable for any loss caused by a Third-Party Service, except to the extent we caused or contributed to it, or could reasonably have prevented it.

11.5 Naming or connecting to a Third-Party Service doesn’t mean we endorse it or are affiliated with it.

12. Privacy and email

12.1 We handle personal information as set out in our Privacy Policy, under the Privacy Act 1988 (Cth).

12.2 We send service emails you need (sign-in links, receipts, account notices). We only send marketing emails with your consent, and every marketing email has an unsubscribe link, as the Spam Act 2003 (Cth) requires.

13. Liability

13.1 Non-Excludable Rights come first. Everything in this clause 13 is subject to clause 2.

13.2 Limit for services not ordinarily for personal use. If the Service is not of a kind ordinarily acquired for personal, domestic or household use or consumption, then to the extent the law allows, our liability for failing to meet a consumer guarantee is limited, at our option, to supplying the services again or paying the cost of having them supplied again.

13.3 Overall cap. To the extent the law allows, our total liability to you for all claims arising out of or in connection with the Service or these Terms, whether in contract, tort (including negligence), under statute or otherwise, is limited to the total amount you paid us in the 12 months before the event giving rise to the claim.

13.4 Indirect loss. To the extent the law allows, we aren’t liable for any loss of profit, revenue, data, goodwill or opportunity, or any indirect or consequential loss.

13.5 Your decisions. To the extent the law allows, we aren’t liable for loss arising from decisions you make based on AI output or Health Check results without getting appropriate professional advice (see clauses 6 and 7.2).

13.6 What the limits don’t cover. The limits in clauses 13.3 to 13.5 don’t apply to liability for death or personal injury caused by our negligence, or for our fraud, or to the extent we are found to have breached the Privacy Act 1988 (Cth).

13.7 Shared responsibility. Our liability is reduced to the extent that you, or something outside our reasonable control, contributed to the loss.

14. Indemnity

To the extent the law allows, you indemnify us against third-party claims, and the reasonable costs of dealing with them, to the extent they arise from:

  • (a) Your Content, or information you connected to the Service, that you weren’t entitled to provide (including claims by your employees about Deputy data you authorised us to read); or
  • (b) your breach of clause 5.2.

This indemnity is reduced to the extent we caused or contributed to the claim.

15. Suspension and termination

15.1 By you. You can stop using the Service at any time and cancel your membership under clause 4.3. You can also delete your account from your account settings. Deleting your account is different from cancelling: it ends your membership immediately, with no refund for the rest of the month you’ve paid for, cancels any unused credits, and releases any seats you hold at future sessions. What happens to your data when you delete your account is set out in our Privacy Policy.

15.2 By us. We may suspend or close your account if:

  • (a) you materially breach these Terms and, where the breach can be fixed, don’t fix it within 14 days of our notice;
  • (b) you breach clause 5.2(c), (g) or (i), or we reasonably believe your account is being used fraudulently or puts the Service, other users or third parties at risk, in which case we may act immediately; or
  • (c) we stop offering the Service, with at least 30 days’ notice.

15.3 Refunds on termination. If we close your account under clause 15.2(c), or for a reason that isn’t your fault, we will refund any membership fees you have prepaid for the period after closure, and the value of any unused purchased credits, calculated at the price you paid.

15.4 What survives. Clauses 4.5, 10, 13, 14, 17 and anything else that by its nature should continue survive the end of these Terms.

16. Changes to these Terms

16.1 We may update these Terms to reflect changes to the Service, our business or the law.

16.2 For a change that is materially adverse to you, we will give you at least 30 days’ notice by email and on the site. If you don’t accept the change, you can cancel before it takes effect. If you do, we will refund any membership fees you’ve prepaid for the period after the change takes effect.

16.3 Other changes take effect when we publish them. The date at the top shows the latest version.

17. General

17.1 Governing law. These Terms are governed by the laws of New South Wales, Australia. Each party submits to the non-exclusive jurisdiction of the courts of New South Wales and the courts that can hear appeals from them.

17.2 Disputes. If there is a dispute, contact us first at hello@jiffi.co and we will each try in good faith to resolve it within 30 days. This doesn’t stop either of us from seeking urgent relief from a court, or stop you from contacting a consumer protection regulator such as NSW Fair Trading or the ACCC.

17.3 Things outside our control. We aren’t liable for delay or failure caused by events outside our reasonable control, such as outages of our providers, internet failures, or natural disasters.

17.4 Assignment. You can’t transfer your rights under these Terms without our consent. We may transfer them to a business that takes over the Service, as long as your rights aren’t reduced. We’ll tell you if that happens.

17.5 Severability. If any part of these Terms is invalid or unenforceable, that part is read down or removed, and the rest continues.

17.6 No waiver. If we don’t enforce a right straight away, we haven’t given it up.

17.7 Entire agreement. These Terms, the Privacy Policy, and any terms shown at checkout make up the whole agreement between you and us about the Service. Where we have a separate signed consulting agreement with you, that agreement governs those consulting services.

17.8 Notices. We may give you notices by email to the address on your account or in the Service. You can give us notices at hello@jiffi.co.
